SEC No-Action Letter Precedent for the Coupon and Super Coupon Token

A reference memo for counsel covering the six public SEC staff no-action letters, and the supporting regulatory framework, behind the conclusion that the coupon and Super Coupon Token are consumptive utility instruments rather than securities.

Prepared for counsel. September 17, 2026.

The conclusion and its basis

Six public no-action letters from the SEC’s Division of Corporation Finance, issued between 2019 and 2026, together with the Division’s 2019 Framework for Investment Contract Analysis and the March 2026 joint SEC and CFTC interpretation, establish a settled path for consumptive digital tokens8, 10. A token whose value is a defined, exercisable consumer discount, capped, expiring, and consumed in use, sits in the consumptive utility lane of that taxonomy, outside the Howey investment-contract perimeter. The coupon and Super Coupon Token are built to that template: redeemable merchant discounts, an eleven-month lifecycle, smart-contract trading caps, and value realized by the holder’s own redemption decisions rather than the managerial efforts of a promoter.

The six no-action letters

Letter and date What the staff cleared Application to the coupon token
TurnKey Jet, Inc. April 3, 20191 First crypto no-action letter. Tokenized jet credits sold at a fixed $1, usable only on a fully operational closed platform, with sale proceeds not used to build the platform. Consumptive use, capped value, and an operational platform defeat securities classification. Commissioner Peirce later called the TKJ token a tokenized gift card, the closest conceptual match to a coupon9.
Pocketful of Quarters, Inc. July 25, 20192 ERC-20 Quarters gaming tokens usable across multiple platforms, with smart-contract-managed token economics and a two-tier architecture limiting speculation. Genuine consumptive utility combined with coded economic limits, the direct parallel to the Super Coupon's smart-contract trading caps and recycling mechanism.
IMVU, Inc. (VCOIN) November 19, 20203 Ethereum-based VCOIN for in-platform use, conditioned on consumptive-intent affirmations and on purchase, conversion, and transfer limits. Transferable, even cash-convertible tokens remain non-securities when structural limits curb speculation, analogous to the platform's daily average-daily-volume caps.
DoubleZero (2Z) September 29, 20254 Programmatic 2Z distributions on a decentralized physical infrastructure (DePIN) network, with an accompanying public statement from Commissioner Peirce5. Value flows from holders' own efforts, not a promoter's, failing Howey's efforts-of-others prong. Coupon value is likewise realized by the holder's own redemption activity.
Fuse Crypto Limited November 24, 20256 Energy-participation tokens redeemable for discounts on electricity costs. Staff concluded that such cost reductions are not profits but rather a type of rebate. The strongest language on record for a discount instrument: a rebate is not an investment return. A coupon is, definitionally, a rebate.
MegPrime Holding LLC (MPP) January 15, 20267 Consumer rewards and payment token earned on rent, mortgage, and recurring bills, treated as a non-security utility and payment token on three representations: consumer utility, no governance rights, and no expectation of profit. The closest published analog to a coupon token, and the template against which the Super Coupon structure maps. The coupon's defined, exercisable merchant benefit is a stronger utility story than a bill-payment rewards token.

Supporting authority

  • FinHub Framework, April 2019. The Division’s Framework for Investment Contract Analysis of Digital Assets is the Howey roadmap each of the six letters applies. It expressly weighs consumptive use, capped value, and immediate usability against securities status8.
  • Commissioner Peirce, How We Howey, May 2019. Characterized the TurnKey Jet token as a tokenized gift card, so clearly not an offer of securities that she worried the letter implied a gray area where none existed. Gift cards themselves have never required relief because they were never arguably securities9.
  • Joint SEC and CFTC interpretation, March 17, 2026. Clarified that most crypto assets are not securities and set out a taxonomy in which consumptive utility instruments fall outside the securities perimeter, the commodity utility token lane in which a tradable discount coupon naturally sits10.
  • FASB ASU 2023-08. Fair-value crypto-asset accounting is codified in US GAAP, effective for fiscal years beginning after December 15, 2024, and accepted in SEC filings. BCII holds a favorable independent accounting opinion under the standard (CFO Squad Inc., February 2026)11.

Limits of the relief and the recommended next step

  • Relief runs to the requester. A staff no-action letter is an enforcement position resting on counsel’s representations, not a legal determination. It is persuasive precedent for BCII, not a ruling BCII can rely on directly. The DoubleZero response says so explicitly4.
  • Marketing language is the pressure point. The MegPrime conditions permit the token economics as designed, but investor-facing copy must speak in discount-utility terms, a consumer savings floor, not appreciation or return terms. Framing intrinsic value as a price target is what would invite a Howey analysis7.
  • Recommended next step. Before commercial launch, file BCII’s own no-action request mapped line by line to the MegPrime representations: consumer utility, no governance rights, and no expectation of profit. The coupon’s defined, exercisable merchant benefit makes it a stronger candidate than any instrument yet granted relief.
